Can Indian suppliers make a chemical to my formula under NDA?

Yes. Many Indian formulators will blend or react to your formula under a non-disclosure agreement. Protect yourself with a clear contract, limited disclosure and checks on the plant.

Yes. Many Indian specialty plants will make a product to your formula and keep it confidential under a non-disclosure agreement. This is common for blends, emulsions and auxiliaries.

An NDA is a start, not full protection. You also need a manufacturing agreement, careful disclosure and a plant you have checked. Where the work is a multi-step synthesis rather than a blend, read custom synthesis and protecting your process.

Two ways to work

In the first model, the supplier buys all raw materials and sells you the finished product. You share the formula and the specification. This is simpler, but the supplier sees everything.

In the second model, you supply one or more key ingredients and the plant blends or processes them for a fee. This is toll manufacturing, covered in toll manufacturing in India. It keeps your critical input under your control.

A middle route is also common. The plant buys the standard raw materials, and you supply only the one ingredient that makes your formula distinctive. That limits what the plant learns while keeping logistics simple.

What the NDA and contract should cover

  • A definition of confidential information that includes the formula, process conditions, test methods and your customer names.
  • A ban on using your formula for any other customer or the supplier's own products.
  • A rule that the formula stays your property, and that any improvements made for you also belong to you.
  • Limits on who inside the plant may see the formula.
  • Return or destruction of documents and retained samples when the work ends.
  • Governing law and a dispute route you can actually use, such as arbitration in a named seat.

Practical protection

Disclose in stages. Share the performance target first, then the formula only after the NDA is signed and the plant has been checked. Where possible, supply a premix or a coded ingredient so the full recipe is never written down at the plant.

Register the NDA and the manufacturing agreement properly. Indian contracts generally need stamp duty to be enforceable as evidence, so ask your Indian lawyer about the stamp paper and signing formalities. Contract enforcement in India can be slow, so arbitration clauses are common.

Think about trade marks as well. If you will sell the product under your own name, register that name in your market and in India. Then the plant cannot sell the same product under your name to someone else.

Check the plant before you share anything sensitive. A clean audit, a stable management team and existing contract work for other overseas customers are good signs. Our founding note on what a factory audit should contain covers the basics.
